Key programme principles

The Global Board Excellence Framework will support the development of constructive and future facing recommendations, appraising the Board systemically across a number of key strategic principles enabling you to apply essential diligence and governance to your Boardroom.

Strategic Principle

This principle shines a light on your strategic planning capabilities, leadership competencies and behaviours. The clarity and your ability to implement key objectives, and the universal understanding of your purpose, aligned to your strategy and active succession planning. It will also appraise your understanding of the key principles of Corporate Governance in the Boardroom and its impact and benefits. Supporting your positioning and implementation of strategic management of risk, crises and reputation all guided by global insights and trends.

Structure Principle

Delivering a structural assessment to include roles and responsibilities, competencies and skill sets, cultural and ethical conduct and the robustness of your policies and procedures, including governance design and the governance framework you adhere to as a Board.

Standards Principle

Reviewing and assessing current IS change programmes, internal and external auditing frameworks, including the fiscal understanding and competency skills as part of the Directors’ financial responsibilities to maintain the organisation’s financial health and to ensure your prioritisation of ESG is in place.

Systemic Principle

Strategic alignment to ensure robust protocols and supervision methodologies are in place ensuring procedural on-going monitoring of Board compliance, including Board evaluations and effectiveness reviews, whilst maintaining effective stakeholder communication and relations.

Programme overview

Individual, team and organisation insights-led interviews

We will begin our partnership by conducting individual interviews with the Board (including Non-Executive Directors), selected shareholders and broader stakeholders across your organisation using the MRA Global Board Excellence Framework to drive the conversations around the four key strategic principles. This approach will provide transparent system-wide insights, identifying areas of alignment and opportunities for growth through a systemic lens.

Core areas of focus in each principle are:

Strategic principle

Exploring strategic planning development and building associated objectives. How does the strategy inform, drive and promote key leadership behaviours, enabling transparent, balanced judgement and consideration at all times? How is risk defined, communicated and implemented?

Structure Principle

Examining the Board composition. How robust is it to meet the strategic needs of the organisation, with clearly defined roles, responsibilities, capabilities and levels of authorisation. What is your ethical code of conduct? What policies, procedures and processes are in place?

Standards Principle

Reviewing change programmes, how they are managed and reported on. How is compliance prioritised? What are your internal and external auditing reporting frameworks and routines?

Systemic Principle

What is the Board’s mandate and authority? What protocols and supervision methodologies are in place to ensure procedural Board compliance, whilst also managing and maintaining effective stakeholder relations?
